Zepto Unveils Pre-IPO Private Placement: What Investors Need to Know

Quick-commerce player Zepto has finalized a pre-IPO private placement deal with its major shareholders, as it prepares for a stock market listing aimed at enhancing its financial standing. As it gears up for this corporate milestone, the company is looking to bolster its cash reserves to facilitate growth and operations.

Funding and Valuation Insights

The recent financing round is set to bring Zepto additional capital, adding to its existing cash reserve of ₹5,681 crore. With a commendable zero debt reported as of March 31, 2026, the company is in a robust financial position, which will play a crucial role as it moves towards its Initial Public Offering (IPO).

Zepto aims to raise funds at a valuation of approximately $4.5 billion (around ₹42,925 crore). The anticipated financial contributions are primarily expected to come from domestic investors, which aligns with the government’s push to foster Indian investment in technology and startup sectors. This also indicates a strategic shift, as Zepto currently has around 40% Indian shareholder representation and aims to increase this figure.

This valuation represents a decline from the $7 billion valuation achieved in October 2025, during a funding round led by the California Public Employees’ Retirement System (CalPERS), where Zepto had secured $450 million. Such fluctuations in valuation underscore the volatility of the startup ecosystem, influenced by market conditions and investor sentiment.

IPO Preparations and Market Position

Founded by Stanford dropouts Aadit Palicha and Kaivalya Vohra, Zepto is marking significant milestones in its IPO journey. Having filed its preliminary IPO documents in December 2025 through a confidential pre-filing route, the company is expected to release an updated Draft Red Herring Prospectus (DRHP) soon, detailing its operating results and financials. The company plans to pursue an IPO to raise ₹8,010 crore through a fresh issue of shares, alongside an offer for sale (OFS) of 11.35 crore equity shares by current shareholders.

In terms of performance, Zepto reported a revenue from operations of ₹22,624 crore for the fiscal year 2025-26. The company also had a net receivables value (NRV) of ₹24,816 crore and processed an average of 17.5 lakh orders daily, which climbed to 23.3 lakh orders per day in the final quarter of March 2026. With 1,139 operational stores and nearly 48 million annual transacting users, Zepto is positioned strategically within the fast-growing quick-commerce market.

Competitive Landscape

Zepto’s eventual listing will place it in direct competition with other major players such as Swiggy and Eternal, particularly in the quick-commerce sector. Both competitors operate quick-commerce arms—Blinkit and Instamart—which are similarly vying for market share in India’s rapidly evolving e-commerce space. With Zepto’s focus on operational execution, the coming months will be critical as the firm navigates this competitive landscape while seeking to maximize its market potential.

What This Means

The progress of Zepto towards an IPO is significant for the Indian startup ecosystem, particularly in the technology and e-commerce spaces. A successful listing could pave the way for other startups considering public offerings, highlighting investor interest in homegrown companies. Furthermore, the shift towards domestic investor participation reflects broader trends in the market, where local investment is becoming increasingly vital for startups aiming to scale. This development may lead to enhanced scrutiny on profitability and operational efficiency, as new market entrants vie for investor confidence amidst fluctuating valuations.
