SEBI Imposes Penalty on Pace Stock Broking for Regulatory Breaches

The Securities and Exchange Board of India (SEBI) has levied a ₹4 lakh penalty on Pace Stock Broking Services following an investigation into potential front-running activities involving trades conducted on behalf of certain clients related to Axis Mutual Fund. The investigation spanned from April 1, 2020, to March 31, 2022, and revealed significant compliance lapses by the brokerage in maintaining accurate records.

Compliance Failures During Investigation

During the investigation, SEBI scrutinized trading activities executed through Pace Stock Broking and identified potential front-running of trades associated with Axis Mutual Fund. The brokerage was found to have inadequately maintained trade-wise IP address records, as mandated by SEBI’s guidelines established in their November 6, 2013 circular governing algorithmic trading practices.

Although Pace claimed that IP address records were maintained, it failed to link specific user IDs to the corresponding IP addresses in 93 instances throughout the review period. This shortcoming was categorized by SEBI as a violation of essential record-keeping requirements necessary for transparent market operations.

Allegations of Improper User ID Assignments

Further complicating the situation, it was noted that terminal IDs and user IDs were assigned in the name of Kaleeswaran Pandian, who had not been authorized as a dealer or approved individual within the brokerage during the investigation timeline. SEBI alleged that his credentials were improperly utilized to secure trading terminal IDs from the National Stock Exchange (NSE) for the brokerage’s Chennai and Ghaziabad branches.

Pace Stock Broking defended itself by stating that the connection of Mr. Pandian’s details to a trading ID was a clerical error, with the terminal actually being operated by dealer Rajeev Ranjan. However, SEBI dismissed this explanation, highlighting that not only were terminal IDs allocated in Mr. Pandian’s name, but they were also continuously renewed and updated over various years, denoting a lapse in governance practices at the brokerage.

SEBI’s findings underscored that inaccurate information was provided regarding Mr. Ranjan’s role as the dealer operating a specified user ID during the investigative period. The regulator’s conclusions suggest a broader issue of record integrity at Pace Stock Broking, emphasizing the company’s failure to maintain accurate and up-to-date records concerning user IDs, terminal IDs, and approved dealers, which is a direct violation of NSE circulars and regulatory requirements.
