State Bank of India (SBI) has revised its offer for sale (OFS) in SBI Mutual Fund’s initial public offering (IPO) due to a successful pre-IPO transaction. The bank has sold approximately 2.88 crore shares to 30 investors for ₹1,655 crore, leading to a significant reduction in the IPO size.

Details of the Pre-IPO Transaction

On July 10th, SBI completed a pre-IPO sale where three key investors collectively invested over ₹100 crore. These investors include Akash Manek Bhanshali with an investment of around ₹200 crore, PI Opportunities Fund – II, also at approximately ₹200 crore, and 3P India Equity Fund I with ₹150 crore. The shares were sold at ₹574 each, significantly bolstering SBI’s financial position ahead of the IPO.

Changes to the IPO Size

Following the pre-IPO transaction, SBI has adjusted the size of its OFS in the Mutual Fund’s IPO from a maximum of 12.83 crore equity shares (6.3007% of SBI MF’s paid-up equity capital) to 9.95 crore equity shares (4.8851% of the paid-up capital). The IPO, which consists entirely of an OFS from SBI and Amundi India Holdings, is now set to offer a total of 17.09 crore equity shares, representing 8.3933% of the paid-up capital. This major adjustment underscores the changing landscape within India’s mutual fund sector.

Upcoming IPO Details

The SBI Mutual Fund IPO will open for subscriptions on July 14 and close on July 16, 2026. At the upper price band of ₹574 per share, SBI is projected to raise approximately ₹5,711 crore, while Amundi India Holdings could secure ₹4,101 crore. Notably, SBI had already gained ₹1,655 crore from the pre-IPO sale, which will positively impact its financial results, adding a robust ₹7,366 crore to the bank’s other income for Q2. This could enhance the overall financial stability of India’s largest bank.
