Supreme Court Declines Full Disclosure of AIFs and FPIs Beneficiaries Lacking Legal Framework

The Supreme Court of India recently declined to issue a directive to the Securities and Exchange Board of India (SEBI) mandating full public disclosure of ultimate beneficial owners (UBO) of Alternative Investment Funds (AIFs) and Foreign Portfolio Investors (FPIs). The court emphasized that such disclosures can only be implemented within an existing legal framework, which currently lacks adequate regulations.

Background of the Supreme Court Ruling

On Thursday, the Supreme Court reviewed a writ petition filed by Member of Parliament Mahua Moitra, highlighting issues of transparency within AIFs and FPIs in the Indian securities market. The three-judge Bench, led by Justice BV Nagarathna, noted that a full public disclosure ruling isn’t justifiable without supportive regulatory frameworks from the government and SEBI.

The judges pointed out that while SEBI has regulatory powers, the rapidly evolving nature of economic situations necessitates that the Union government and SEBI collaborate to establish proper transparency regulations. The court’s decision was influenced by concerns that a judicial order could be overstepping without clear legislative backing.

The Transparency Debate

The petition argued that the surge of AIFs and FPIs has raised significant transparency concerns, particularly when compared to mutual funds, which are required to adhere to stringent disclosure norms. According to data presented by Moitra, the number of AIFs under SEBI’s oversight escalated from 42 in 2013 to 1,528 by 2025, while the average Assets Under Management (AUM) increased from ₹1,437 crore to approximately ₹13 lakh crore during the same period. In contrast, the petition highlighted that FPIs held over ₹74 lakh crore in assets, significantly overshadowing the combined AUM of mutual funds, which stood at around ₹68 lakh crore in 2025.

The disparity between the regulatory frameworks for mutual funds and those for AIFs and FPIs has raised alarms about potential risks like market manipulation and money laundering. The lack of mandatory public disclosures could enable these ill-regulated financial vehicles to operate with increased opacity, endangering investors and the integrity of the market.

Judicial Discourse on Public Interest

During the proceedings, Justice Nagarathna raised questions about Mahua Moitra’s motives for pursuing a public interest petition, suggesting that she could have addressed her concerns within the parliamentary framework. However, her counsel, Prashant Bhushan, advocated that Moitra’s background as an investment banker and her status as an MP positioned her uniquely to bring these important issues to light on behalf of the public.

The judge also referenced earlier instances where the court accepted petitions under Article 32 of the Constitution, acknowledging its discretion in such matters. This dialogue reflected the ongoing tension between legislative responsibilities and judicial authority in matters of public interest, especially regarding investor protection.

What This Means

The Supreme Court’s ruling highlights the regulatory gaps within India’s financial framework related to AIFs and FPIs. Without the establishment of clear regulations from SEBI and the Union government, the concerns surrounding transparency and accountability may remain unaddressed. This situation presents challenges not only for investors seeking clarity on their investments but also for the integrity of the Indian securities market as a whole. As financial instruments evolve and proliferate, it becomes increasingly critical for legislative and regulatory bodies to ensure that investor protections adapt to new challenges in the market.

Frequently Asked Questions

1. Why did the Supreme Court refuse to mandate disclosure of AIFs and FPIs?

The court stated that a judicial order for full public disclosure cannot be justified without an existing legal framework. The judges emphasized that it is the responsibility of the government and SEBI to establish such regulations.

2. What are AIFs and FPIs?

Alternative Investment Funds (AIFs) refer to privately pooled investment vehicles that collect funds from sophisticated investors for real estate, private equity, and hedge funds, among others. Foreign Portfolio Investors (FPIs) are entities that invest in financial assets in another country, typically through stocks and bonds.

3. What are the risks associated with the current lack of transparency in AIFs and FPIs?

The opacity in AIFs and FPIs can lead to increased opportunities for market manipulation, money laundering, and evasion of tax responsibilities, raising concerns for both individual investors and the overall stability of the financial market.

4. How have AIFs grown in India’s market?

AIFs have expanded significantly from 42 registered in 2013 to 1,528 by 2025, with their average Assets Under Management soaring from ₹1,437 crore to almost ₹13 lakh crore, indicating their growing importance in India’s financial landscape.
