Sun Pharma Receives Moody’s and S&P Rating Upgrade Amid ₹11.75 Billion Organon Acquisition Bid

Sun Pharmaceutical Industries, India’s largest pharmaceutical firm, has received investment-grade ratings from Moody’s and S&P Global Ratings for its planned $11.75 billion acquisition of US-based Organon & Co. This strategic move aims to significantly strengthen Sun Pharma’s market position and revenue base in a competitive industry.

Investment-Grade Ratings Assigned

S&P Global Ratings has assigned a preliminary ‘BBB+’ long-term issuer credit rating to Sun Pharma, while Moody’s Ratings has given it a ‘Baa1’ long-term issuer rating. Both agencies have issued a ‘stable’ outlook for the company, indicating confidence in its ability to meet financial obligations.

The ratings reflect the agencies’ assessment of Sun Pharma’s financial health and operational strength. A ‘Baa1’ (Moody’s) and ‘BBB+’ (S&P) designation ensures that Sun Pharma maintains adequate payment capacity, albeit with moderate credit risk associated with the acquisition.

Details of the Acquisition

The proposed acquisition is set to take place in April 2026, with plans to fully acquire Organon for an enterprise value of $11.75 billion. The transaction is expected to conclude by March 2027, pending regulatory approvals. This acquisition is part of Sun Pharma’s strategy to enhance its revenue, which is anticipated to nearly double by FY28 to about $1.3 trillion (approximately $14 billion).

Organon is projected to account for approximately 40-45% of the EBITDA for Sun Pharma post-acquisition, which highlights the significance of this transaction in driving the company’s growth trajectory. Kaustubh Chaubal, Senior Vice President at Moody’s, remarked that the acquisition will significantly expand Sun’s operational scale and geographic footprint, particularly in women’s health and biosimilars.

Financial Implications of the Transaction

This acquisition comes at a time when Sun Pharma is strategically positioned to capitalize on the global pharmaceutical market’s growing demand. According to S&P Global, the operating scale after this acquisition would place Sun Pharma on par with major global players such as Teva Pharmaceuticals and Viatris, each generating revenues closely in the range of $14 billion to $17 billion annually.

Moreover, Organon’s established presence in markets like China and Korea allows Sun Pharma an opportunity to cross-sell products in regions where it has previously had limited penetration. With a committed $12 billion acquisition bridge loan from international banks, Sun Pharma appears well-prepared to finance this ambitious venture. The Indian company currently holds cash reserves of approximately $3.6 billion as of March 31, 2026, providing a solid foundation for the acquisition.

What This Means

This acquisition signifies a pivotal moment not just for Sun Pharmaceuticals but for India’s pharmaceutical sector as well. It underscores the increasing trend of consolidation in the industry, as companies aim to bolster their portfolios through acquisitions. For investors, customers, and industry stakeholders, the improved scale and scope of operations may lead to enhanced product offerings and competitive pricing in the long run.

Furthermore, the decision to venture into international markets such as China and Korea is indicative of the Indian pharmaceutical industry’s ambitions to establish a more global presence. This move could strengthen India’s position as a key global player in pharmaceutical manufacturing and innovation, catering to diverse healthcare needs.
