Fosun Pharma has sold a significant 4.55% stake in Gland Pharma for ₹2,121 crore, bringing its shareholding below the critical 50% threshold to 47.22%. The stake sale drew interest from various domestic mutual funds and institutional investors, further indicating a trend of large transactions within the Indian pharmaceutical sector.

Insights into the Stake Sale

Fosun Pharma Industrial Pte Ltd, a prominent promoter of Gland Pharma, executed the stake sale through a series of block deals on the Bombay Stock Exchange (BSE). The company offloaded a total of 75,05,500 shares in 11 batches at an average price of ₹2,826.60 per share. This transaction, amounting to ₹2,121.50 crore, represents a strategic move by Fosun Pharma to adjust its shareholding in the Hyderabad-based pharmaceutical company.

With this sale, Fosun Pharma’s ownership in Gland Pharma has decreased from 51.77% to 47.22%, thereby slipping below the important 50% mark. The decision to reduce its stake comes amid a robust interest from various financial entities in India, including domestic mutual funds and institutional investors, marking a significant change in the company’s ownership landscape.

Key Buyers in the Transaction

The shares sold found a ready market among several key players in the financial sector. Kotak Mahindra Mutual Fund emerged as the largest buyer, acquiring 27.93 lakh shares for almost ₹789.47 crore. Axis Mutual Fund and ICICI Prudential Mutual Fund were also notable participants, purchasing shares worth ₹383.57 crore and ₹293.68 crore, respectively.

The sale drew interest from other domestic entities like Aditya Birla Sun Life Mutual Fund, Mirae Asset Mutual Fund, and insurance firms like SBI Life Insurance and HDFC Standard Life, illustrating a broad base of interest in Gland Pharma. This development points to a renewed investor confidence in the pharmaceutical sector, especially in high-value assets like Gland Pharma.

Financial Performance of Gland Pharma

In addition to the stake sale, Gland Pharma has reported promising financial results for the April-June quarter. The company saw a robust 47% increase in consolidated net profit, reaching ₹317 crore compared to ₹215 crore during the same quarter last year. Furthermore, its revenue from operations climbed by 19.5%, totaling ₹1,800 crore, up from ₹1,506 crore year-on-year.

This performance comes on the heels of Fosun Pharma’s prior divestment of a 6% stake in June 2024 for ₹1,754 crore, further underscoring a pattern of gradual stake reduction. Established in 1978, Gland Pharma specializes in the development and manufacturing of generic injectables, serving a wide network that spans nearly 90 countries around the globe.

What This Means

The decision by Fosun Pharma to reduce its stake in Gland Pharma could signal a shift in investment strategy as well as a response to market dynamics in the Indian pharmaceutical sector. With foreign investment in Indian pharmaceuticals facing regulatory scrutiny and changes in consumer behavior over the past few years, domestic mutual funds’ active participation indicates a shift towards local investment strength. For Indian investors, this shake-up in ownership may help stabilize share performance, especially amid a growing demand for pharmaceutical products post-pandemic.
