Shiprocket Submits Revised Draft for ₹2,342-Crore IPO to SEBI

Ecommerce enablement firm Shiprocket has filed an updated draft red herring prospectus (UDRHP), with the Securities and Exchange Board of India (SEBI) seeking to raise up to ₹2,342.3 crore through an initial public offering (IPO).

The proposed public issue will comprise a fresh issue of equity shares worth up to ₹1,100 crore and an offer-for-sale (OFS) component aggregating up to ₹1,242.3 crore. Through the OFS, the company’s cofounders — Gautam Kapoor, Saahil Goel and Vishesh Khurana — along with several institutional investors, will pare their holdings.

The selling shareholders include LR India Fund I, Arvind Ltd, Tribe Capital III, MCP3 SPV LLC and Bertelsmann Nederland B.V., according to the draft papers filed with the market regulator.

Shiprocket plans to deploy a significant portion of the fresh issue proceeds to strengthen its platforms and expand its business. Of the total, ₹505 crore will be invested in the company’s core and emerging businesses. This includes ₹294 crore earmarked for marketing initiatives aimed at customer acquisition and brand building, and ₹211 crore to enhance its technology and digital infrastructure.

The company also intends to utilise ₹210 crore from the IPO proceeds to repay or prepay certain borrowings, which is expected to improve its balance sheet and reduce finance costs. The remaining funds will be used to support inorganic growth through unidentified acquisitions, as well as for general corporate purposes.

Founded in 2017, Shiprocket provides logistics and technology solutions to ecommerce sellers, enabling order fulfilment, shipping, and related services across platforms.

In terms of shareholding, the three co-founders together hold a 10.69% stake in the company. Bertelsmann is the largest shareholder with a 21.32% holding, followed by Zomato parent Eternal, which owns 6.85%. Tribe Capital III holds a 6.39% stake, while LR India Fund I and MCP3 SPV LLC own 4.40% and 4.50% stakes, respectively.

The filing comes amid a revival in India’s primary markets, with several technology and new-age companies lining up to tap public investors after a subdued period.
